GreenCart Referral Program — Terms & Conditions

Operator: Linfa Inc. ("GreenCart", "we", "us", "our")
These Terms govern the GreenCart Referral Program (the "Program"). By participating — whether by sharing a referral code, signing up through one, or claiming a reward — you agree to these Terms, the GreenCart Terms of Service, and the GreenCart Privacy Policy. If you do not agree, do not participate.
1. Definitions
- Referrer — an existing GreenCart user who shares their referral code or link.
- Referee — a new user who registers using a Referrer's code or link.
- Reward — a benefit issued under the Program, paid in B3TR tokens on the VeChain network, whose amount and form are set by us and stated in the App.
- Qualifying Activity — the conditions a Referee must genuinely satisfy for a referral to become eligible for a Reward, including (a) completing identity verification (KYC), (b) reaching the qualifying spend amount stated in the App through genuine, independent purchases at legitimate merchants, and (c) keeping the account in good standing.
- App — the GreenCart mobile and/or web application and associated services.
2. Eligibility
2.1 Participants must be at least 18 years old, have a valid GreenCart account in good standing, and complete any identity verification (KYC) we require.
2.2 The Program is void where prohibited and is not available to users in jurisdictions we exclude or where the Program would be unlawful.
2.3 Each individual person may participate through one account only. One account, one device, one payment instrument, and one verified identity per person. Operating or controlling multiple accounts to participate is prohibited.
2.4 Employees, contractors, and their close relatives or household members may be excluded at our discretion.
3. How the Program works
3.1 A Referrer shares their unique code or link. A Referee registers using it and completes the Qualifying Activity.
3.2 A referral is eligible for a Reward only when the Referee genuinely and completely satisfies all Qualifying Activity conditions, as determined and validated by us.
3.3 Rewards are not earned, vested, owed, or guaranteed at the moment a threshold appears to be met. Every referral is subject to review, and a Reward becomes payable only after we have validated it. We may hold, delay, or decline issuance while a referral is under review.
3.4 We may set, and change at any time, the qualifying spend amount, Reward amounts, caps, cooldown periods, the number of referrals per user, and any other Program parameter, with or without notice.
4. Reward issuance, timing, and form
4.1 Rewards that we validate are issued in B3TR tokens to the wallet associated with the eligible account, on a schedule determined by us.
4.2 Cryptocurrency notice. B3TR is a digital token whose value fluctuates and may fall to zero. We do not guarantee any monetary value, convertibility, or liquidity of any Reward. Blockchain transactions are generally irreversible; you are responsible for the accuracy of your wallet address. We are not liable for losses arising from token volatility, network conditions, or errors in wallet details you provide.
4.3 You are solely responsible for any taxes arising from Rewards.
5. Prohibited conduct
Participation must reflect genuine, good-faith use of GreenCart by real, independent people. The following are strictly prohibited. This list is illustrative, not exhaustive — any activity that abuses, manipulates, or undermines the spirit or integrity of the Program is prohibited:
Fake, duplicate, or coordinated accounts
- Creating, controlling, or coordinating multiple, fake, duplicate, or automated accounts.
- Networks, rings, or clusters of accounts operated by, or on behalf of, the same person or coordinated group ("sybil" activity).
- Sharing or reusing devices, identities, payment instruments, or contact details across accounts to obtain multiple Rewards.
Self-referral and circular referrals
- Referring yourself, or referring an account you also control or benefit from.
- Reciprocal or circular referral arrangements designed to extract Rewards on both sides.
Artificial or non-genuine transactions
- Transactions created, structured, or timed primarily to reach a reward threshold rather than for genuine consumer purchases.
- Payments to yourself or to persons or businesses associated with you or your Referrer.
- Cash-equivalent, money-transfer, quasi-cash, peer-to-peer, top-up, gift-card, or similar transactions that move funds rather than purchase goods or services.
- Transactions at merchants, categories, or payment channels we do not permit for the Program.
- Transactions that are later refunded, reversed, cancelled, charged back, or otherwise unwound.
Non-genuine or abandoned usage
- Signing up and transacting only to the minimum needed to claim a Reward with no genuine intent to use GreenCart as an ongoing customer.
- Accounts that show no genuine, sustained activity after qualifying.
Manipulation and misrepresentation
- Use of bots, scripts, automation, emulators, VPNs/proxies, or other tools to disguise identity, location, or activity, or to manipulate the Program.
- Providing false, misleading, stolen, or synthetic identity, payment, or contact information.
- Spam, deceptive, or misleading promotion of your referral code.
- Any breach of applicable law, the GreenCart Terms of Service, card program rules, or these Terms.
6. Our rights — refusal, reversal, and clawback
6.1 Sole discretion. We may determine, in our sole and absolute discretion, whether a referral is genuine and eligible, and whether any conduct violates these Terms. Our determinations are final.
6.2 We may, at any time, with or without notice, and without liability:
- decline, withhold, cancel, or refuse to issue any Reward;
- delay issuance pending review or verification;
- reverse, void, or claw back Rewards already issued, and recover their value, where a referral is later found ineligible, abusive, or the underlying transactions are refunded, reversed, cancelled, or charged back;
- forfeit accrued or pending Rewards;
- suspend, restrict, or terminate participation in the Program;
- suspend, restrict, close, or ban any account, and withhold associated balances, to the extent permitted by law; and
- decline to state the specific reason for any decision, in order to protect the integrity of our fraud-prevention systems.
6.3 We may apply the above to all accounts we reasonably believe are connected to, or coordinated with, the offending conduct.
6.4 We may report suspected fraud or unlawful activity to card networks, issuers, partners, and authorities, and retain related records as permitted by law.
6.5 Our fraud-prevention criteria, thresholds, and detection methods are confidential and will not be disclosed. We are not obliged to pre-warn users of, or explain, the signals we use.
7. Changes, suspension, and termination of the Program
7.1 We may modify, suspend, or terminate the Program, in whole or in part, or change these Terms, at any time and for any reason, with or without notice.
7.2 Continued participation after changes take effect constitutes acceptance of the updated Terms. Rewards not yet validated confer no vested right and may be affected by such changes.
8. No guarantee; "as is"
8.1 Participation does not guarantee any Reward. Rewards are promotional, discretionary, and conditional.
8.2 The Program is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law.
9. Limitation of liability and indemnity
9.1 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost Rewards, lost token value, or lost opportunities, arising from or relating to the Program.
9.2 You agree to indemnify and hold us harmless from claims, losses, and costs arising from your breach of these Terms or misuse of the Program.
10. General
10.1 Mandatory law. Nothing in these Terms limits rights that cannot be excluded under mandatory consumer-protection or other applicable law in your jurisdiction. Where a clause is unenforceable, it is severed and the remainder continues in force.
10.2 No assignment. Rewards and Program benefits are personal to you, non-transferable, and hold no cash value except as expressly stated.
10.3 Governing law and disputes. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Linfa Inc. submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, for any dispute arising out of or relating to the Program, except where mandatory local law grants you the right to bring proceedings in your country of residence.
10.4 Entire agreement. These Terms, together with the GreenCart Terms of Service and Privacy Policy, are the entire agreement regarding the Program and prevail in the event of conflict specific to the Program.
